Welcome to COHEN CC. By accessing or using our digital platform, you agree to be bound by these Terms of Service. Please read them carefully before using our services.

1. Definitions

"Platform" refers to the COHEN CC website, mobile applications, APIs, and all associated digital services and infrastructure.

"User," "you," or "your" refers to any individual or legal entity that registers for, accesses, or uses our platform.

"We," "us," or "our" refers to COHEN CC, its subsidiaries, affiliates, officers, directors, employees, and authorized representatives.

"Services" includes all features available on the platform including but not limited to account management, deposits, withdrawals, transfers, loans, KYC verification, and virtual card services.

"Vault" refers to your digital account and associated storage for assets managed through our platform.

2. Account Registration

• You must be at least 18 years of age to create an account
• You must provide accurate, current, and complete registration information including full legal name, valid email address, phone number, and residential address
• You are solely responsible for maintaining the confidentiality and security of your login credentials, transaction PIN, and any authentication methods
• You must immediately notify us of any unauthorized access or breach of security
• Only one account per person is permitted; creating multiple accounts is strictly prohibited and will result in immediate termination
• We reserve the right to reject or decline any registration at our sole discretion without obligation to provide reasoning
• Accounts are non-transferable and may not be sold, assigned, or otherwise transferred to any third party

3. Identity Verification (KYC)

All users must complete Know Your Customer (KYC) verification to access full platform features. KYC verification levels determine your transaction limits and available services:

• Silver Level: Basic identity verification required. Transaction limit of up to $50,000 per transaction
• Gold Level: Identity verification plus proof of address. Transaction limit of up to $300,000 per transaction
• Platinum Level: Full verification including business documentation. Transaction limit of up to $5,000,000 per transaction

You agree to provide genuine, unaltered, and valid identification documents. Submitting false or fraudulent documents is a violation of these Terms and may result in permanent account suspension and reporting to relevant authorities.

4. Deposits

• Deposits may be made via bank transfer, wire transfer, ACH, or supported cryptocurrency networks
• All deposits are subject to administrative review and approval before funds are credited to your account
• Deposit processing typically takes 1-3 business hours after confirmation of receipt
• Cryptocurrency deposits are converted to USD equivalent at the prevailing market rate at the time of processing
• You are responsible for ensuring the accuracy of deposit details including correct wallet addresses and bank account information
• We are not responsible for deposits sent to incorrect addresses or accounts
• Proof of payment may be required for deposit verification
• We reserve the right to impose minimum and maximum deposit limits

5. Withdrawals and Transfers

• Withdrawals require a valid 6-digit transaction PIN set through your profile settings
• Minimum withdrawal amount is $10 USD
• Withdrawals are processed within 24-48 hours after approval
• You must maintain sufficient available balance to cover the withdrawal amount
• Withdrawal limits are determined by your KYC verification level
• Daily withdrawal limits apply and are calculated based on your KYC tier
• We may require additional verification for large or unusual withdrawal requests
• Withdrawals to third-party accounts may be subject to enhanced scrutiny

6. Loans

• Loan eligibility is determined by your KYC level, account history, and credit assessment
• Interest rates vary by KYC tier: Platinum (5.5%), Gold (8.5%), Silver (10.5%), Unverified (12.5%)
• Loan amounts range from $100 to $100,000,000 based on eligibility
• Loan duration options: 3, 6, 12, 24, 36, or 60 months
• Repayments must be made from your account balance through the loan repayment interface
• Total repayment amount includes principal plus accrued interest over the loan duration
• Late or missed payments may result in penalties, increased interest rates, and negative impact on your credit assessment
• Early repayment is permitted without penalty
• We reserve the right to reject loan applications at our discretion
• Loan agreements are binding and enforceable

7. Prohibited Activities

Users are strictly prohibited from engaging in any of the following activities:

• Money laundering or terrorist financing as defined by applicable laws
• Providing false, misleading, or fraudulent information or documents
• Attempting to hack, breach, exploit, or disrupt the platform or its security systems
• Using the platform for any illegal transactions or unlawful purposes
• Sharing, selling, or transferring account access to unauthorized third parties
• Engaging in market manipulation, wash trading, or fraudulent schemes
• Using automated scripts, bots, or scraping tools without authorization
• Harassing, threatening, or defrauding other users or platform staff
• Attempting to circumvent KYC requirements or transaction limits
• Violating any applicable local, state, national, or international laws or regulations

Violation of any prohibited activities will result in immediate account suspension and may be reported to relevant law enforcement authorities.

8. Account Suspension and Termination

We reserve the right, at our sole discretion, to suspend, restrict, or terminate your account without prior notice for any of the following reasons:

• Violation of any provision of these Terms of Service
• Suspicious, fraudulent, or unauthorized account activity
• Failure to complete or pass KYC verification requirements
• Legal or regulatory requirements compelling such action
• Extended period of account inactivity (as defined by our policies)
• Security concerns or compromised account credentials
• Court orders, subpoenas, or law enforcement directives

Upon suspension or termination, you may be restricted from accessing your account. Any pending transactions may be canceled or processed at our discretion. You remain liable for all obligations incurred prior to termination.

9. Fees and Charges

• Account registration and basic maintenance is free of charge
• Transaction fees, if applicable, will be clearly disclosed before you confirm any transaction
• Loan interest is calculated based on approved loan terms and your KYC tier
• We reserve the right to introduce or modify fees with reasonable notice to users
• Certain premium features or services may incur additional charges
• You are responsible for any third-party fees charged by your bank, payment processor, or cryptocurrency network

10. Limitation of Liability

To the fullest extent permitted by applicable law, COHEN CC shall not be liable for:

• Direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the platform
• Losses resulting from unauthorized access to your account due to your failure to secure your credentials
• Market fluctuations affecting cryptocurrency values or exchange rates
• Delays or failures caused by third-party payment processors, banking institutions, or blockchain networks
• Technical issues, server downtime, or maintenance beyond our reasonable control
• Force majeure events including natural disasters, war, terrorism, or government actions
• Any loss of data, profits, revenue, or business opportunity

Our total liability for any claim arising from your use of the platform shall not exceed the total amount of fees paid by you to COHEN CC in the twelve months preceding the claim.

11. Intellectual Property Rights

All content, trademarks, service marks, logos, trade names, software code, designs, graphics, and other intellectual property displayed on or incorporated into the platform are the exclusive property of COHEN CC and are protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any platform content without our express written permission.

12. Privacy and Data Protection

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

13. Modifications to Terms

We reserve the right to modify, update, or replace these Terms of Service at any time. Material changes will be communicated through:

• Email notification to the address associated with your account
• Prominent notice on the platform upon login
• Updated "Last Updated" date displayed at the top of this page

Your continued use of the platform after any modifications constitutes your acceptance of the revised Terms. If you disagree with any changes, you must discontinue use of the platform immediately.

14. Indemnification

You agree to indemnify, defend, and hold harmless COHEN CC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Service
• Your use or misuse of the platform
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any fraudulent or illegal activity conducted through your account

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the platform shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and COHEN CC regarding your use of the platform and supersede all prior agreements and understandings.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of COHEN CC.
